Terms of Service

These terms apply to all memberships and statements of work. Certain jurisdictions may require additional schedules or local law addenda. Updated: 26 Oct 2025.

1. Membership & SOW Framework

  • Membership tiers (Explorer, Wanderer, Member, Lord, Partner) determine base privileges. Statements of work (SOW) specify deliverables, milestones, and disclosure boundaries.
  • We reserve the right to decline or suspend membership to meet legal obligations or if disclosure limits cannot be honoured.

2. Client Responsibilities

  • Provide accurate, anonymised summaries sufficient for conflict checks and regulator filings. When personal identifiers are required, they must be delivered inside the secure data rooms we supply.
  • Comply with sanctions, AML, and tax laws. Notify us immediately of any investigations or restrictions impacting the engagement.
  • Ensure RC token wallets used for payment belong to you or your approved custodians.

3. Fees & RC Tokens

  • RCCoin is the default payment instrument for retainers and milestones. Fiat billing (USD, SGD, CHF, GBP) may be used for taxes, filings, or third-party expenses.
  • Milestones release only after both parties sign off. Refunds for unused RCCoin require AML clearance and may incur processing fees.
  • Late payments accrue 1.5% monthly interest; repeated non-payment may result in service suspension.

4. Confidentiality & Intellectual Property

  • Both parties agree to maintain confidentiality indefinitely, except where disclosure is legally mandated.
  • Deliverables (opinions, governance frameworks, software artefacts) are licensed for internal use. Redistribution or resale requires our written consent.
  • We may reference anonymised case signals for educational purposes, but never reveal names or unique identifiers without approval.

5. Liability & Dispute Resolution

  • Total liability is capped at fees paid during the preceding 12 months. Neither party is liable for indirect, consequential, or lost-profit damages.
  • Disputes arising from SOWs are resolved via confidential arbitration in Singapore (SIAC) or another agreed venue. Emergency injunctive relief may be sought in competent courts to protect confidentiality or IP.
  • Private Counsel members receive expedited dispute handling, including dedicated arbitration preparation teams.
